1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("Client," "you," or "your") and 158mediagroup OÜ ("Company," "we," "us," or "our") regarding your use of our technology consulting services and website. By engaging our services or using our website, you agree to be bound by these Terms.

4. Service Engagement Process

4.1 Initial Consultation

All engagements begin with an initial consultation to understand your requirements, assess project scope, and determine suitable solutions. This consultation may be provided at no charge for qualifying projects.

4.2 Proposal and Agreement

Following the consultation, we will provide a detailed proposal outlining:

• Project scope and deliverables
• Timeline and milestones
• Pricing and payment terms
• Responsibilities of both parties
• Terms specific to the engagement

5. Payment Terms

5.1 Pricing

Service pricing is determined based on project scope, complexity, timeline, and required expertise. All prices are quoted in US Dollars unless otherwise specified.

5.2 Payment Schedule

Unless otherwise agreed in writing:

• Projects under $10,000: 50% upfront, 50% upon completion
• Projects over $10,000: 30% upfront, 40% at 50% completion, 30% upon completion
• Ongoing consulting: Monthly payment terms
• Payment is due within 30 days of invoice date

5.3 Late Payments

Late payments may incur interest charges of 1.5% per month. We reserve the right to suspend services for accounts with overdue balances exceeding 60 days.

6. Client Responsibilities

To ensure successful project delivery, clients agree to:

• Provide accurate and complete information about requirements
• Grant necessary access to systems, data, and personnel
• Respond to requests for information within agreed timeframes
• Maintain confidentiality of proprietary methodologies and tools
• Make timely decisions and approvals as required
• Ensure availability of key stakeholders for meetings and reviews

7. Intellectual Property

7.1 Company IP

158mediagroup OÜ retains all rights to our proprietary methodologies, tools, templates, and general knowledge acquired through experience across multiple clients.

7.2 Client IP

Clients retain ownership of their pre-existing intellectual property and any specific developments created exclusively for their use under the engagement.

7.3 Work Product

Deliverables created specifically for a client project become the property of the client upon full payment. We retain the right to use general knowledge and experience gained from the engagement.

8. Confidentiality

Both parties agree to maintain strict confidentiality regarding:

• Proprietary business information
• Technical specifications and architectures
• Financial information
• Strategic plans and initiatives
• Any information marked as confidential

9. Warranties and Disclaimers

9.1 Service Warranty

We warrant that our services will be performed with professional skill and care consistent with industry standards. We will correct any deficiencies in our work at no additional charge if notified within 30 days of delivery.

9.2 Disclaimers

EXCEPT AS EXPRESSLY STATED, ALL SERVICES ARE PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND. WE DISCLAIM ALL IMPLIED WARRANTIES INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

10. Limitation of Liability

IN NO EVENT SHALL 158MEDIAGROUP OÜ BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES. OUR TOTAL LIABILITY FOR ANY CLAIM SHALL NOT EXCEED THE AMOUNT PAID FOR SERVICES IN THE 12 MONTHS PRECEDING THE CLAIM.

11. Termination

11.1 Termination by Client

Clients may terminate services with 30 days written notice. Client remains responsible for payment of all work performed through the termination date.

11.2 Termination by Company

We may terminate services immediately for non-payment, breach of terms, or if continuing the relationship would be impractical or harmful to either party.

12. Force Majeure

Neither party shall be liable for delays or failures due to circumstances beyond their reasonable control, including natural disasters, government actions, pandemics, or technical infrastructure failures.

13. Governing Law and Disputes

These Terms are governed by the laws of Estonia and Serbia, where applicable. Any disputes shall be resolved through:

1. Good faith negotiation between the parties
2. Mediation by a mutually agreed mediator
3. Binding arbitration if mediation fails

14. Data Protection and Privacy

Our collection and use of personal data is governed by our Privacy Policy, which forms part of these Terms. We comply with applicable data protection regulations including GDPR where applicable.

15. Changes to Terms

We may update these Terms periodically. Clients will be notified of material changes, and continued use of our services constitutes acceptance of updated Terms.

16. Severability

If any provision of these Terms is found unenforceable, the remaining provisions will continue in full force and effect.

17. Entire Agreement

These Terms, together with any signed service agreements and our Privacy Policy, constitute the entire agreement between the parties and supersede all prior understandings.
